1. Agreement to Terms

By accessing or using SGD Nexus services, you agree to be bound by these Terms and any related policies.

If you do not agree, you must not use the Services.

2. Scope of Services

SGD Nexus provides concierge, operations, and vendor coordination services for residential and commercial customers, including:

● Task management
● Vendor coordination
● Smart-home assistance
● Administrative and virtual support

Features, capabilities, pricing, and service levels vary by plan and customer type.

3. Residential vs Commercial Service Terms

3.1 Residential Customers

● Designed for homeowners and individuals
● Pricing, hours, and usage defined on the Pricing page
● Typically billed monthly
● Unused hours may expire depending on plan terms
● Promotions or trial offers may include special conditions
● Vendors are independent; their warranties and pricing are governed by their own terms

3.2 Commercial (Business) Customers

● Designed for businesses, organizations, and property managers
● May require Master Services Agreements (MSAs)
● Can include SLAs, invoicing, and dedicated support
● May involve custom workflows or integrations
● Businesses are responsible for permissions and compliance when granting access

4. Accounts and Eligibility

To use SGD Nexus services:

● You must be at least 18 years old (Residential), or
● Authorized to represent a business (Commercial)

You agree to:

● Provide accurate and updated information
● Maintain account security
● Be responsible for all activity under your account

5. Customer Obligations

● Provide accurate job details and access instructions
● Comply with all applicable laws and third-party terms
● Ensure authorized personnel for Commercial accounts

6. Booking, Scheduling & Cancellation

● Scheduling depends on plan and availability
● Preferred times are not guaranteed
● Cancellation policies and fees are defined during booking

7. Fees, Billing & Payment

● Fees are outlined on the Pricing page or agreements
● Payment terms vary (monthly, prepaid, invoice)
● Commercial accounts may use NET terms
● Services may be suspended for non-payment

9. Hours, Tracking & Billable Time

● Plans include defined service hours
● Time is tracked internally
● Estimates are non-binding
● Additional work is billed accordingly

10. Vendors & Third Parties

● SGD Nexus coordinates third-party vendors
● Vendors are independent contractors
● Vendor performance is not guaranteed beyond coordination

11. Intellectual Property

All SGD Nexus content, systems, and processes are protected.

You may not:

● Copy
●Modify
● Distribute
● Resell without permission

12. User Content

You grant SGD Nexus permission to use submitted content (e.g., notes, images) to deliver services. You confirm you have rights to share such content.

13. Privacy & Data

Your data is handled according to our Privacy Policy.

Additional terms may apply for Commercial clients.

14. Confidentiality

Both parties agree to keep confidential information secure unless required by law.

15. Warranties & Disclaimers

Services are provided β€œas is” without warranties of any kind.

SGD Nexus does not guarantee outcomes from third-party services.

16. Limitation of Liability

SGD Nexus is not liable for:

● Indirect or consequential damages

Maximum liability is limited to:

● Amount paid in the past 12 months

OR

● $1,000 (whichever is greater)

17. Indemnification

You agree to protect SGD Nexus from claims arising from:

● Misuse of services
● Violations of these Terms

18. Termination

Accounts may be suspended or terminated for:

● Non-payment
● Violations
● Misuse

19. Governing Law & Disputes

These Terms are governed by applicable U.S. law (New Jersey).

Disputes should first be resolved informally before legal action.

20. Changes to Terms

We may update these Terms at any time.

Continued use of services means acceptance of updates.
